These terms are an agreement between Walex Biz Nigeria Limited ("WorkTime", "we", "us") and the business or organisation that creates a WorkTime workspace ("the Customer", "you"). By creating a workspace, starting a trial or using WorkTime, the person doing so confirms that they have authority to accept these terms for the Customer.

1. The service

WorkTime is a cloud ERP made up of modules (for example HR, payroll, accounting, sales and inventory) plus a core workspace included with every plan. You subscribe to a plan and any extra modules you choose. We may improve, add or change features over time; we will not remove a core capability of a module you are paying for during a paid period without giving you notice and a fair alternative or a pro-rata refund.

2. Accounts and users

  • You must give accurate company and contact details and keep them up to date.
  • You are responsible for the users you invite, the permissions you give them and everything done under their accounts. Users must keep their passwords and two-factor codes private.
  • Tell us straight away at [email protected] if you suspect unauthorised access.

3. Free trial

A trial gives you the modules on your chosen plan, plus any modules you picked at sign-up, free for the trial period shown at sign-up. No card is needed. When the trial ends, an invoice is issued for the plan and billing period you chose; the workspace continues once it is paid.

4. Prices, invoices and payment

  • Prices are shown on our pricing page. Every module has a published price and a plan costs the modules it includes. Prices are set in Nigerian naira; when you choose another currency the amount is converted at the exchange rate on the day the invoice is issued, and the invoice amount does not change after that.
  • Subscriptions are billed in advance, monthly, quarterly or yearly as you choose. You can pay by bank transfer using the reference on the invoice, or online through our payment providers where available.
  • Prices exclude taxes unless stated. Where value added tax or a similar tax applies, it will be added to the invoice.
  • We may change our prices. A change applies from your next billing period, and we will tell you at least 30 days before it does.

5. Renewal, changes and cancellation

  • Your subscription renews for the same billing period unless you cancel before the end of the current one. You can add modules at any time; they are billed for the rest of the period.
  • You can cancel at any time from your workspace or by e-mailing us. Cancellation takes effect at the end of the paid period.
  • Payments are not refundable for a period that has already started, except where these terms or the law say otherwise, or where we fail to provide the service as described.

6. Late payment and suspension

If an invoice is not paid when due we will remind you. If it stays unpaid we may pause the workspace until it is paid. A paused workspace is not deleted: your data is kept, and access returns as soon as payment is confirmed. We may also suspend access immediately if it is needed to stop a security threat, a breach of these terms or illegal activity, and we will tell you why.

7. Your data

  • You own the data you put into WorkTime ("Customer Data"). You give us permission to host, process and back it up only as needed to provide and support the service.
  • We process personal data in Customer Data as your processor, under your instructions and our privacy policy. You are responsible for having a lawful basis for the personal data you store, including employee and customer data, and for answering requests from the people it is about; we will help you do so.
  • You can export your data while your subscription is active. After it ends, we keep Customer Data for 90 days so you can ask for a copy, then we delete it.

8. Acceptable use

You must not use WorkTime to break the law; to store or send content that is unlawful, infringing or harmful; to send unsolicited bulk messages without the recipients' consent; to attempt to break or test the security of the service without our written permission; to overload or disrupt it; to reverse engineer it except where the law allows; or to resell it without an agreement with us.

9. Payroll, tax and financial features

WorkTime calculates payroll, taxes, deductions and accounting entries from the rules and figures you set up. You remain responsible for checking them, for filing returns and for paying taxes and staff on time. Payouts through payment providers are carried out by those providers under their own terms; we are not a bank and we do not hold your funds.

10. AI features

AI features generate answers and text automatically and can make mistakes. Check AI output before you rely on it for financial, legal or employment decisions. You must not use AI features to create unlawful or harmful content.

11. Third-party services

You may connect services such as payment providers, banking, accounting or meeting tools. Your use of them is governed by their own terms, and we are not responsible for their availability or acts, but we will help you resolve problems with our integration.

12. Availability and support

We aim to keep WorkTime available at all times and to schedule maintenance outside West Africa business hours, with notice where possible. Support is available by phone, e-mail, WhatsApp and live chat during West Africa business hours, and critical problems are handled as a priority.

13. Intellectual property

WorkTime, its software, design and documentation belong to us or our licensors. Your subscription gives you a non-exclusive, non-transferable right to use the service for your business during your subscription. If you send us ideas or feedback, we may use them without obligation to you.

14. Confidentiality

Each party will keep the other's confidential information private, use it only for this agreement and protect it at least as carefully as its own, except where disclosure is required by law.

15. Warranties

We will provide WorkTime with reasonable skill and care. Apart from that and anything the law does not allow us to exclude, the service is provided "as is" and we do not promise that it will be uninterrupted or error-free or meet every specific need.

16. Limitation of liability

Neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill. Our total liability under these terms in any 12-month period is limited to the amount you paid us for the service in that period. Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be limited by law.

17. Indemnity

You will compensate us for claims brought by third parties arising from Customer Data or from your use of WorkTime in breach of these terms or the law.

18. Ending the agreement

Either party may end the agreement if the other seriously breaches these terms and does not fix the breach within 30 days of written notice, or becomes insolvent. When it ends, your right to use WorkTime stops and section 7 applies to your data. Sections that by their nature should continue, such as payment of amounts due, confidentiality, liability and governing law, continue to apply.

19. Changes to these terms

We may update these terms. We will post the new version here with a new effective date and tell account owners at least 30 days before material changes take effect. If you do not agree, you may cancel before they apply.

20. Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. The parties will first try to settle any dispute by good-faith discussion. If it is not settled within 30 days, it will be referred to arbitration in Abuja under the Arbitration and Mediation Act 2023, before a single arbitrator, in English. Either party may still ask a court for urgent relief.

21. General

These terms, with any order or invoice and our privacy policy, are the whole agreement between us about WorkTime. If a part is found unenforceable, the rest still applies. Neither party is liable for delays caused by events beyond its reasonable control. You may not transfer this agreement without our consent; we may transfer it to a company that takes over our business. Notices to us go to [email protected]; notices to you go to the account owner's e-mail address.
